VRS Closes Stock Sale Transaction for EMS Company
Vogt, Resnick & Sherak, LLP (“VRS”) recently closed a middle market stock sale transaction for an electronics manufacturing services (“EMS”) company based in Orange County, California. The buyer has many years of experience acquiring and operating full-service EMS companies that serve automotive, aerospace, medical, military, and related industries.
VRS worked closely with the seller and its tax, investment banker and other advisors. The buyer was represented by a large international law firm. The extensive due diligence process involved coordination with multiple consultants addressing legal, tax, environmental, insurance and HR issues. The transaction had some unique issues such as a PPP loan, phantom stock rights for key employees and a policy for representations and warranty insurance. VRS’s founding partner, Barry Resnick, and VRS partner, Jeff Resnick, led the seller’s legal team in the handling of the transaction.
