Vogt, Resnick & Sherak, LLP Successfully Closes a Large M&A Transaction
Led by Barry Resnick, the law firm of Vogt, Resnick & Sherak, LLP represented all but one of the shareholders of a large Orange County-based software company in the sale of their shares to a private equity group headquartered on the East Coast. The transaction involved cash consideration of more than $700 million.
The transaction took over 9 months to complete and was complicated by pending litigation among the shareholders as well as tax issues. After many late night and weekend meetings, the transactional was successfully closed.
